Corporate/Senior Corporate Counsel

Qualified candidates for Corporate Counsel will be lawyers experienced in transactional matters. Experience with renewable energy projects, including power purchase agreements, interconnection agreements, Engineering Procurement and Construction (EPC) agreements, and Operations and Maintenance (O&M) agreements is preferred. A working knowledge of tax equity finance transactions, FERC and other regulatory matters associated with solar development projects would also be preferred. The Corporate Counsel is a full-time role located in Boise, Idaho and will report to Clenera’s General Counsel.

ESSENTIAL JOB FUNCTIONS: (Position may include additional functions not listed.)*

• Responsible for transactional matters associated with renewable energy projects, including power purchase agreements, interconnection agreements, Engineering Procurement and Construction (EPC) agreements, and Operations and Maintenance (O&M) agreements.  

• Responsible for both strategic and tactical contractual deliverables throughout the full cycle of renewable energy projects, including development, construction, and operations stages.  

• Collaborate with and advise internal development team, coordinate contractual terms and conditions, and ensure all necessary contractual requirements are established.

• Coordinate and negotiate with attorneys, agency representatives, consultants, and suppliers to develop, negotiate, and finalize contracts and agreements.

• Develop, negotiate, and produce contractual documentation for complex tax-equity finance transactions involving multiple parties—i.e., contracts, agreements, modification task/delivery orders, solicitations, special contract provisions, certifications, and correspondence.

• Collaborate with colleagues, outside parties, and federal agencies to obtain project documentation and/or coordinate issue resolution.

• Serve as legal counsel with respect to general corporate and business matters as requested by the General Counsel.  

QUALIFICATIONS: (Required knowledge, skills, abilities, education, experience, etc.)

• JD degree and active bar license in any US jurisdiction

• 5+ years’ experience in a major law firm or renewable energy firm  

• Working knowledge of tax equity finance transactions, FERC and other regulatory matters associated with solar development projects preferred  

• Prior experience with M&A or financial transactions helpful

• Proficient computer skills including Microsoft Office Suite

• Prefer proven leadership skills, including leading a department or team

• Ability and willingness to learn, cross-train, and work as a team player and leader

• Exceptional attention to detail, problem solving, and organizational skills

• Ability to work independently under tight deadlines with competing deadlines or projects

• Committed team player with the ability to develop and maintain productive work relationships

• Effective verbal and written communication skills

• Self-motivated with the ability to effectively manage competing deadlines or projects  

• Flexibility conducive to a fast-paced, growing company environment

PHYSICAL & OTHER REQUIREMENTS: (physical, environmental, travel, etc.)

• Ability to work in office setting; primarily sedentary; use of normal office machines

• Availability to work additional hours or weekends as projects demand
